Terms and Conditions for Sunlight Assessments UK LTD
1. **Introduction**
These Terms and Conditions ("Terms") govern the provision of the BRE Sunlight Assessment Report ("Report") by Sunlight Assessments Uk Ltd ("Company", "we", "us", "our") to the Client ("you", "your"). By commissioning or using the Report, you agree to be bound by these Terms.
2. **Scope of Service**
2.1 The Report is provided to assess sunlight and daylight levels in accordance with the Building Research Establishment (BRE) guidelines.
2.2 The scope of the Report includes data collection, analysis, and a detailed assessment of daylight & sunlight for the specified location.
3. **Delivery of Report**
3.1 The Report will aim to be delivered to the Client within the agreed timeframe upon receipt of all necessary information and payment.
3.2 The Report will be provided in a digital format unless otherwise agreed.
4. **Client Responsibilities**
4.1 The Client must provide accurate and complete information required for the assessment.
4.2 The Client is responsible for obtaining any necessary permissions for site access.
5. **Fees & Payments**
5.1 The fees for the Report will be specified in the invoice provided to the Client.
5.2 Project setup cost payment must be made on instruction and final payment must be made within 24 hours of receipt of the draft invoice unless otherwise agreed in writing.
5.3 For invoicing purposes, fees will typically be apportioned as follows:
:50% Project setup, and computer model.
:30% Computerised light analysis.
:20% Report.
5.3 Late payments may incur additional charges at our discretion.
6. **Use of Report**
6.1 The Report is intended for the Client's use only and may not be reproduced or distributed without our prior written consent.
6.2 The Report is based on the information available at the time of the assessment and is subject to change if additional information becomes available.
7. **Intellectual Property**
7.1 All intellectual property rights in the Report and any materials provided to the Client remain the property of the Company.
7.2 The Client is granted a non-exclusive, non-transferable license to use the Report for its intended purpose.
8. **Liability**
8.1 The Company will exercise reasonable skill and care in preparing the Report.
8.2 For purposes of the report and analysis the company relies on the plans submitted by the client or the client’s architect/designer, local authority planning records, Ordinance Survey maps, Google Earth/Street view data, and sales particulars data from Rightmove and other online property sales portals. No liability can be claimed for incomplete or inaccurate data obtained from the above sources
8.3 The Company’s total liability to the Client, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms shall be limited to the total fees paid by the Client for the Report.
8.4 The Company shall not be liable for any indirect, consequential, or special loss or damage, including but not limited to loss of profit, loss of business, or loss of data.
9. **Confidentiality**
9.1 Both parties agree to keep confidential any information obtained during the performance of the Report that is not publicly available.
9.2 Confidential information shall not be disclosed to any third party without the prior written consent of the other party.
10. **Termination**
10.1 Either party may terminate the agreement by giving 30 days written notice to the other party.
10.2 The Company may terminate the agreement immediately if the Client fails to make any payment due or breaches any of these Terms.
10.3 Deposit monies paid on account will be refunded on a pro-rata basis according to work completed.
11. **Governing Law and Jurisdiction**
These Terms shall be governed by and construed in accordance with the laws of England and any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England
12. **Amendments**
The Company reserves the right to amend these Terms at any time. Any amendments will be notified to the Client in writing and will take effect from the date of such notification.
13. **Severability**
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
14. **Entire Agreement**
These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations relating to the subject matter.
